Terms and conditions
Our terms, in plain English.
These terms apply to every project and service from TOI Studio. When you accept a quote or pay a deposit, you agree to them.

Who we are
TOI Studio is the trading name of Shannon Marie Maxwell, registered business name Toi Studio WA (ABN 81 909 875 031). We are a web design and branding studio based in Western Australia. In these terms, "we" and "us" means TOI Studio, and "you" means the business or person we're working for.
Quotes and scope
Every project starts with a written, fixed scope quote. It lists what's included, the price, the payment schedule and an estimated timeline.
- Quotes are valid for 30 days.
- Anything not listed in your quote is outside the scope and will be quoted separately before we do it.
- The project starts once you accept the quote and pay the deposit.
Payments
Most projects are paid as a 50% deposit and a 50% final payment before launch, or in three equal payments if you prefer. Invoices are due within 14 days unless your invoice says otherwise. Full details, including care plans and late payments, are in our payment policy.
Your part
- Provide your content, images and feedback within the agreed timeframes.
- Make sure you have the right to use any content you give us, such as photos, logos and text.
- Choose one main contact who can give feedback and approval.
- Give us access by invitation, such as adding us as a user. We will never ask for your passwords, and you should never send them to us by email or form.
Revisions and changes
Your quote says how many revision rounds are included. Most packages include two rounds at each stage. A round is one set of combined feedback.
Extra rounds, new pages or new features are change requests. We'll quote them before starting. Small changes are charged at $60 an hour.
Delays and paused projects
If we're waiting on content, feedback or access for more than 30 days, we may pause your project. Restarting may mean a new start date. If a project is paused for more than 60 days, we may invoice for the work completed so far.
Approval and launch
Once you approve the final work and pay your final invoice, we launch and hand over. After launch, any new work is quoted separately or covered by a care plan.
For 30 days after launch, we'll fix any bugs in the work we built, free of charge. This doesn't cover changes made by you or others, third party updates or new features.
Who owns what
- Once your project is paid in full, you own the final designs, logo files and website content we create for you.
- Until then, all work remains ours.
- We keep ownership of our own tools, code libraries and templates, and give you a licence to use them as part of your project.
- Fonts, stock photos, plugins and other third party items are licensed to you on their own terms.
- We show past work in our portfolio only with your written permission.
Third party services and costs
Domains, hosting, email, booking systems, plugins and similar services are set up in your name and paid by you, unless your quote says otherwise. We're not responsible for outages, price changes or changes made by these providers.
Care plans
Care plans are monthly and billed in advance. You can cancel with 30 days notice. The plan covers the items listed in your plan only. Larger changes are quoted separately.
Cancelling a project
- If you cancel more than 7 days before your start date, we'll refund your deposit in full.
- Once work has started, the deposit covers the work completed. If the work completed is worth more than the deposit, we'll invoice the difference at $60 an hour.
- We may end a project if invoices remain unpaid or the project stays paused, with written notice. You'll receive any completed, paid for work.
Our responsibility
We take care to deliver quality work, but we can't guarantee particular results such as search rankings, sales or enquiry numbers. To the extent allowed by law, our total responsibility for any claim is limited to the amount you paid us for the project.
Nothing in these terms limits your rights under the Australian Consumer Law.
Privacy and confidentiality
We keep your business information confidential and only use it to deliver your project. See our privacy policy for how we handle personal information.
Māori design
Where a project includes Māori design elements, we create original artwork, explain its meaning and encourage you to check with whānau or mana whenua where appropriate.
General
These terms are governed by the laws of Western Australia. We may update them from time to time. The version on this page when you accept your quote applies to your project.
